SOW Process & Templates

Request a Quote

Negotiate & Execute SOW

Review the quote, negotiate rates at or below the DIR-published NTE rates, and execute the SOW. State agencies must submit SOWs for DIR review per TGC 2157.0685 prior to solicitation.

Issue a Purchase Order (PO) referencing DIR Contract Number DIR-CPO-6228 and the executed SOW. POs should be sent directly to ADPMN Inc. Work begins upon PO receipt and SOW execution.

Service Warranty & Correction Policy

Service Quality Warranty

ADPMN Inc warrants that all services delivered under DIR Contract DIR-CPO-6228 will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards and practices, and in accordance with the specifications defined in each executed Statement of Work (SOW).

Warranty Period

ADPMN Inc provides a 90-day warranty period from the date of Customer acceptance of each deliverable. During this warranty period, ADPMN Inc will, at no additional charge, correct any material defects or non-conformances in delivered work that are attributable to ADPMN Inc.

Scope

This warranty applies to all deliverables as defined and accepted under each SOW. The warranty does not cover issues arising from Customer-side changes, third-party systems outside ADPMN’s control, or requirements changes introduced after deliverable acceptance.

Service Correction & Remedy Policy

As this DIR Contract DIR-CPO-6228 is for SERVICES ONLY (no hardware or software products are sold under this contract), a traditional product return policy does not apply. Instead, ADPMN Inc maintains the following service correction policy:

Deliverable Non-Conformance

If a deliverable does not meet the acceptance criteria defined in the executed SOW, Customer shall notify ADPMN Inc in writing within fifteen (15) business days of delivery. ADPMN Inc will review the non-conformance, and if valid, will correct the deliverable at no additional charge within a mutually agreed timeline.

Dispute Resolution

In the event of a dispute regarding deliverable acceptance, the parties will follow the dispute resolution procedures outlined in the DIR Master Contract terms and conditions.

Overpayment Recovery

If Customer has overpaid for services not rendered or non-conforming deliverables, ADPMN Inc will issue a credit memo or refund within 30 days of written agreement on the amount.
